1. Scope of Services

Teeya Productions provides custom-built, fully owned enterprise AI operating systems. All services are governed by individual project agreements. These terms apply to the use of our website and the general provision of our development services.

2. Territorial Restriction (Quebec Exclusion)

The Services are not offered to persons or entities residing in, or operating primarily from, the Province of Quebec. By engaging our services, you confirm that your primary business operations and jurisdiction are outside of Quebec.

3. AI System Limitations & Liability

Client acknowledges that Artificial Intelligence systems are probabilistic by nature and may occasionally generate errors, hallucinations ("inaccurate, incomplete, or biased outputs"), or biased results.

• Human Oversight Required: The Client agrees to maintain "Human in the Loop" oversight for all critical operations, specifically including financial transactions, invoicing, and legal communications generated by the System.
• No Liability for AI Output: Teeya Productions is not liable for financial losses, operational delays, or legal issues resulting from unverified AI actions or decisions.

4. System Ownership & Post-Handoff Responsibility

Upon final project delivery and payment:

• Ownership: The Client retains 100% ownership of the custom application code and architecture.
• Maintenance: Unless a separate support contract is signed, the Client assumes full responsibility for the maintenance, security patching, and hosting of the System.
• Data Security: Teeya Productions retains no access to Client Data post-handoff. The Client is solely responsible for data backups and securing their infrastructure.

5. Intellectual Property

Clients retain full ownership of their specific build. Teeya Productions retains ownership of its proprietary base libraries and development methodologies used to create the System, granting the Client a perpetual, non-exclusive, royalty-free license to use these underlying technologies within their custom build.

6. Confidentiality

All client communications, business logic, data, and project materials are treated as strictly confidential. Teeya Productions will not use Client Data to train public-facing AI models.

7. Governing Law

These terms are governed by the laws of Ontario and the federal laws of Canada applicable therein. Any disputes will be handled under the exclusive jurisdiction of the courts in Toronto, Ontario.
